HyzerHub — Terms & Conditions

These Terms & Conditions ("Terms") are a binding agreement between you and HyzerHub LLC, a Florida limited liability company ("HyzerHub," "we," "us," or "our"), governing your access to and use of the HyzerHub mobile application, website, and related services (together, the "Service").

Please read these Terms carefully. They include a limitation of our liability (Section 15) and, if you are in the United States, an agreement to resolve disputes through binding individual arbitration and a waiver of class actions (Section 17). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who can use HyzerHub

You must be at least 13 years old to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. We do not knowingly allow anyone under 13 to create an account; see our Privacy Policy for how we handle this.

By using the Service you represent that: (a) you meet the age requirement; (b) you have not been previously suspended or removed from the Service; and (c) your use complies with all laws that apply to you.

2. Your account

You need an account to use most features. You agree to provide accurate information, keep it up to date, and keep your login credentials secure. You are responsible for activity that happens under your account. Tell us promptly at support@hyzerhub.app if you suspect unauthorized use. We may refuse, suspend, or terminate accounts as described in Section 16.

3. The Service

HyzerHub is a disc-golf community platform. Depending on the features available to you, the Service may let you: create a profile and disc bag; post content, photos, and videos; write and read reviews; follow other users; watch embedded third-party tournament coverage; join clubs, leagues, and events; complete skill challenges; earn and redeem HyzerPoints; and subscribe to a Season Pass. We may add, change, or remove features at any time.

4. HyzerPoints loyalty program

HyzerPoints are a loyalty and engagement feature of the Service. The following terms govern them.

4.1 Earning. You earn HyzerPoints by taking eligible actions in the Service — for example completing your profile, posting content, writing reviews, completing challenges, participating in leagues or events, referring friends, and, where enabled, making qualifying purchases from participating partners. Earning is subject to per-period caps and anti-abuse rules that we may set and change. We may withhold, reverse, or adjust points for activity that violates these Terms, appears fraudulent or automated, or involves content that is later removed.

4.2 No cash value. HyzerPoints have no cash value. They are not money, not a stored-value or gift-card instrument, and cannot be exchanged, redeemed, or cashed out for money or account credit. HyzerPoints are not transferable and have no value outside the Service. Nothing in the Service is a promise that HyzerPoints equal any specific dollar amount.

4.3 Redemption. You may redeem HyzerPoints only for the items and rewards listed in the in-app rewards catalog, at the point prices we set, and only if you meet any tier or Season Pass requirement shown for that item. Certain rewards are physical goods supplied and shipped by our partner, Disc Golf Republic, LLC ("DG Republic"); see Section 6. Availability is not guaranteed, and we or our partner may substitute or discontinue items.

4.4 Earned, not purchased. HyzerPoints are earned through activity. You cannot buy HyzerPoints for cash. Purchasing a Season Pass does not buy HyzerPoints or any specific reward — it unlocks access to certain rewards, which you still redeem with HyzerPoints (see Section 5).

4.5 No chance; skill-based. Rewards are awarded on a deterministic basis for defined actions. HyzerHub does not offer random prize drawings, loot boxes, or games of chance tied to HyzerPoints.

4.6 Changes and expiration. We may modify, suspend, or discontinue the HyzerPoints program, change earn rates, point prices, catalog items, tiers, or caps, or expire points, at any time. Where required or reasonable, we will give notice through the Service. Changes are not retroactive to rewards you have already redeemed.

4.7 Shipping and taxes on rewards. Unless stated otherwise at redemption, you are responsible for shipping and handling charges and any taxes associated with a redeemed physical reward.

5. Season Pass subscription

5.1 What it is. The Season Pass is an optional paid upgrade that covers a single season. The premium track (currently $9.99 per season) unlocks additional progression rewards and access to Season-Pass-gated items in the rewards catalog. A Season Pass does not deliver merchandise by itself — you still redeem gated items with HyzerPoints, and only if you also meet any required tier.

5.2 How you buy it; billing. The Season Pass is sold by HyzerHub through our website and billed by our third-party payment processor, Stripe. When you buy a Season Pass, you authorize HyzerHub and Stripe to charge your payment method the then-current price plus applicable taxes for that season's pass. Stripe processes your payment information directly under its own terms and privacy policy; we do not store your full card number. Prices may change, and we will give notice before a change applies to you. If we ever offer the Season Pass through an app store's in-app purchase, that store's billing, renewal, and refund rules will govern those particular purchases instead of this Section.

5.3 One-time purchase; no renewal. A Season Pass is a one-time purchase covering a single season. It does not renew, there is no recurring billing, and there is nothing to cancel. If you want a Season Pass for a later season, you buy that season's pass separately when it is offered. Deleting your account ends any Season Pass access you hold.

5.4 Refunds. Except where required by law, subscription fees are non-refundable, and you will not receive a refund or credit for a partially used season, unredeemed rewards, or unused HyzerPoints.

5.5 Season content. Seasons are time-limited and rotate. The specific items, cosmetics, and rewards available in a season may change from season to season and may become permanently unavailable after a season ends.

6. DG Republic and third-party sellers

Some rewards are supplied by DG Republic (DGRepublic.com), a separate company that is under common ownership with HyzerHub. DG Republic is the seller and shipper of those goods and is responsible for fulfillment, product warranties, returns, and related customer service under its own policies. The Service may also link to DG Republic's store, sometimes with tracking parameters; we may earn or allocate value through that relationship. We disclose this affiliation in the interest of transparency. Your purchases directly on DGRepublic.com are governed by DG Republic's own terms and policies, not these Terms.

7. Your content

7.1 Ownership. You keep ownership of the content you post (text, photos, videos, reviews, and other materials — "User Content").

7.2 License to us. You grant HyzerHub a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, adapt, and distribute your User Content for the purpose of operating, promoting, and improving the Service. This license ends when you delete your User Content, except for reasonable backup copies and content others have already shared or interacted with.

7.3 Your responsibility. You represent that you own or have the rights to your User Content and that it does not violate these Terms or any law or third-party right. You are solely responsible for your User Content.

7.4 Moderation. We may (but are not obligated to) review, moderate, remove, or restrict User Content or accounts that we believe violate these Terms or the Acceptable Use Policy below. We may remove content and reverse related HyzerPoints.

Violations may result in content removal, loss of HyzerPoints, and suspension or termination.

9. Third-party content and services

The Service displays and links to third-party content and services, including embedded YouTube videos and links to disc-golf data sources and event platforms. That content is owned by its providers and is subject to their terms:

10. Intellectual property

The Service, including its software, design, logos, and trademarks (including "HyzerHub" and "HyzerPoints"), is owned by HyzerHub or its licensors and protected by law. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You may not copy, modify, distribute, reverse-engineer, or create derivative works from the Service except as allowed by law.

11. Feedback

If you send us ideas or suggestions, you grant us a perpetual, irrevocable, royalty-free right to use them without obligation to you.

12. Contests, challenges, and events

Challenges and any contests we offer are skill-based and free to enter unless expressly stated otherwise. We do not operate games of chance, real-money wagering, or user-funded prize pools through the Service. Any promotion with its own rules will be governed by those rules in addition to these Terms.

13. Termination by you

You may stop using the Service and delete your account at any time through account settings or by contacting us. Deleting your account forfeits your HyzerPoints, tier status, and any unredeemed rewards.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CONTENT (INCLUDING THIRD-PARTY DATA) WILL BE ACCURATE. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK. Some jurisdictions do not allow certain disclaimers, so some may not apply to you.

15. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HYZERHUB AND ITS OWNERS, EMPLOYEES, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR HYZERPOINTS, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) US $100. Some jurisdictions do not allow these limits, so they may not fully apply to you.

16. Suspension and termination by us

We may suspend or terminate your access to the Service, remove content, and revoke HyzerPoints at any time if we reasonably believe you have violated these Terms, created risk or legal exposure, or for any other reason with or without notice. On termination, the licenses you have from us end; Sections that by their nature should survive (including 4.2, 7.2, 10, 14, 15, 17) survive.

17. Governing law and dispute resolution

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

17.1 Governing law. These Terms and any dispute between you and HyzerHub are governed by the laws of the State of Florida and, where applicable, the Federal Arbitration Act, without regard to conflict-of-laws rules.

17.2 Informal resolution first. Before starting an arbitration or any other proceeding, you agree to first contact us at support@hyzerhub.app with a written description of the dispute and your contact information, and to work with us in good faith to resolve it for at least 30 days. This step is required before either of us may begin arbitration.

17.3 Binding arbitration. If we cannot resolve the dispute informally, you and HyzerHub agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") will be resolved by final and binding individual arbitration, rather than in court, except as stated in Section 17.6. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect. The arbitrator's award may be entered in any court with jurisdiction.

17.4 Arbitration procedure. The arbitration will be conducted by a single neutral arbitrator. Unless you and HyzerHub agree otherwise, the seat of arbitration is Hillsborough County, Florida; if you are an individual consumer, you may request that hearings be held by phone or video, or in the U.S. county where you live. The arbitrator decides all issues, except that a court decides the enforceability of this arbitration agreement. Payment of arbitration fees is governed by the AAA rules; where those rules or applicable law require, HyzerHub will pay or reimburse filing and arbitrator fees for consumer claims.

17.5 CLASS-ACTION AND JURY-TRIAL WAIVER. YOU AND HYZERHUB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims or preside over any class or representative proceeding. YOU AND HYZERHUB ALSO WAIVE ANY RIGHT TO A JURY TRIAL.

17.6 Exceptions. Either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek injunctive or other equitable relief in court to stop actual or threatened infringement or misuse of intellectual property or unauthorized access to the Service. These matters are not subject to Sections 17.3–17.5.

17.7 Your right to opt out of arbitration. You may opt out of this arbitration agreement (Sections 17.3–17.5) within 30 days of first accepting these Terms by sending an email to support@hyzerhub.app with the subject line "Arbitration Opt-Out" and stating your name, the email on your account, and that you opt out. If you opt out (or if Sections 17.3–17.5 do not apply), Disputes will be resolved exclusively in the state or federal courts located in Hillsborough County, Florida, and you consent to their personal jurisdiction and venue.

17.8 Severability. If the class-action waiver in Section 17.5 is found unenforceable as to a particular claim, that claim (and only that claim) will be severed and heard in court; the rest of Section 17 remains in effect. If any other part of this Section is found unenforceable, the remainder stays in effect.

17.9 Changes. If we materially change this Section 17 in the future, you may reject the change as to existing disputes by notifying us at support@hyzerhub.app within 30 days of the change.

18. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by other reasonable means and update the "Last updated" date. Your continued use after changes take effect means you accept the updated Terms.

19. General

These Terms, together with our Privacy Policy and any posted program rules, are the entire agreement between you and HyzerHub about the Service. If any provision is unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
